5. Intellectual Property

Upon full payment, ownership of the final project deliverables transfers to the client. Cloud Matrix Digital LLC retains ownership of proprietary tools, frameworks, reusable code, templates, methodologies, and pre-existing intellectual property.

Both parties agree to maintain the confidentiality of proprietary, business, and technical information exchanged during the course of the project unless disclosure is required by law.
